February 2026 Tax Calendar: Essential Deadlines for Your Business

February marks a critical period for business tax compliance, packed with deadlines for year-end reporting and quarterly payroll filings. Missing these dates can lead to significant penalties, so staying organized is key. Here’s a breakdown of the essential due dates your business needs to have on its radar for February 2026.

The Big Push: February 2nd Year-End Reporting

The beginning of the month is dominated by deadlines for forms that report payments made during the 2025 calendar year. This is often a flurry of activity for business owners getting information to employees and independent contractors.

For Your Employees: Forms W-2

You must furnish 2025 Form W-2 to all employees by February 2, 2026. This also marks the deadline to file Copy A of Form W-2, along with Transmittal Form W-3, with the Social Security Administration (SSA). Whether you file by paper or electronically, the deadline is the same.

For Your Contractors: Forms 1099-NEC

If your business paid $600 or more for services to a non-employee (such as an independent contractor) in 2025, you must provide them with Form 1099-NEC. This form is also due to the IRS on February 2nd. This dual deadline is strict, so ensure you have gathered all necessary information from your vendors well in advance.

Other Recipient Forms: 1098s and Other 1099s

A variety of other forms must be sent to recipients by February 2nd, including:

  • Form 1098 (Mortgage Interest Statement)
  • Other Forms 1099 (e.g., for dividends, interest, rent, royalties, etc.)
  • Form W-2G for certain gambling winnings

Note that for most of these forms (excluding the 1099-NEC), the deadline to file with the IRS is later.

February 2nd Payroll & Tax Form Filings

Beyond year-end reporting, several key tax returns are also due.

  • Form 941 (Employer's QUARTERLY Federal Tax Return): File for the fourth quarter of 2025.
  • Form 943 (Employer's Annual Federal Tax Return for Agricultural Employees): File for the 2025 tax year.
  • Form 940 (Employer's Annual Federal Unemployment (FUTA) Tax Return): File for the 2025 tax year.
  • Form 945 (Annual Return of Withheld Federal Income Tax): Report nonpayroll income tax withheld during 2025.

For these forms, if your tax liability is under $2,500 (or $500 for Form 940), you can typically pay the amount due with the return. Otherwise, deposits must be made according to your deposit schedule.

The Extended Deadline: February 10th

Did you deposit all of your employment taxes for the reporting period on time and in full? If so, the IRS gives you a little extra breathing room. The deadline to file Forms 940, 941, 943, 944, and 945 is extended to February 10, 2026.

Mid-Month Check-In: February 17th

A few more deadlines arrive mid-month:

  • Information Statements: Forms 1099-B (Broker Transactions), 1099-S (Real Estate Transactions), and certain 1099-MISC forms must be furnished to recipients.
  • Monthly Tax Deposits: If you are on a monthly deposit schedule for Social Security, Medicare, and withheld income tax (payroll or nonpayroll), your deposit for January 2026 is due.
  • Withholding Update: This is the deadline to start withholding income tax for employees who claimed exemption in 2025 but have not submitted a new Form W-4 to continue their exemption for 2026.

Remember that if a tax deadline falls on a Saturday, Sunday, or legal holiday, the due date is automatically moved to the next business day.

If your business is in a federally declared disaster area, tax deadlines may be extended. It's important to check for official announcements from the IRS and FEMA.
